OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. SWEEPSTAKES OPEN ONLY TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA WHO ARE AT LEAST 18 YEARS OF AGE AT TIME OF ENTRY (the “PARTICIPANT”). VOID IN PUERTO RICO AND WHERE PROHIBITED OR RESTRICTED BY LAW.

HOW TO ENTER: Visit www.twittermoms.com and (1) blog about your favorite holiday activities to do with your kids on your own blog, (2) Post the Dora Christmas Carol widget on your blog, and (3) then return to the Sweepstakes page on Twittermom.com to leave a link active post (each an “Entry”, collectively the “Entries”). Normal Internet access and usage charges imposed by your on-line service will apply. Completed Entry must be submitted in accordance with the online directions during the Sweepstakes Period. Incomplete Entries will be disqualified. Entries must be received no later than 11:59 p.m. (ET) on December 6, 2009. Neither MTV Networks or Twittermoms (collectively the “Sponsor”) nor National Sweepstakes Corporation (“NSC”) will acknowledge or verify receipt of Entries except as indicated herein. Use of a profane username or the submission of false or misleading personal information by a Participant will be grounds for disqualification. Sponsor and NSC shall hereinafter be referred to herein as the “Sweepstakes Entities”. Sponsor retains sole discretion to determine whether entry information is profane, false, or misleading. All Entries submitted become the sole property of Sponsor and will not be returned. Entries limited to one (1) entry per calendar day/per email address.

SWEEPSTAKES PERIOD: The Sweepstakes begins at 12:00 a.m. (Eastern Time [“ET”]) on November 25, 2009 and ends at 11:59 p.m. (ET) on December 6, 2009.

ELIGIBILITY: To enter the Sweepstakes, Participant must be (i) a legal resident of the 50 United States or DC, (ii) 18 years of age or over at the time of entry, and (iii) physically located in the one of the 50 United States or DC at the time of entry (a “Participant”). The Sweepstakes and any website pages and advertisements relating thereto are intended for viewing only within the 50 United States and DC. Sweepstakes void in Puerto Rico and is not open to employees, officers and directors of SweepstakesEntities and their immediate families (parents, children, siblings and spouse, regardless of where they live), and members of their households (whether related or not), and those winners who have won a grand prize in any Nickelodeon Sweepstakes/promotion in the twelve (12) months prior to the start of the Sweepstakes Period.

GENERAL REQUIREMENTS FOR ENTRIES:

Each Participant warrants and represents, and agrees to do so in writing, that Sponsor’s use of the materials submitted by Participant in this Sweepstakeswill not violate the rights of any third party. Entries must be in keeping with Sponsor’s positive image, as determined by Sponsor in their sole discretion. Any materials containing obscenity, crude language, or descriptions of a violent or sexual nature (as defined solely by the Sponsor) will not be accepted and the associated Entry will be disqualified.

SELECTION OF POTENTIAL WINNERS AND PRIZING AND NOTIFICATION: The first thirty (30) Participants who enter will receive $25 gift card and a Dora Christmas Carol DVDsubject to qualification as outlined herein. Five (5) entries will be randomly selected from the remaining pool of eligible entries and will be awarded a $100.00 gift card. Sponsors decisions are final and binding in all respects. Winners will be notified by email at NSC’s discretion within seven (7) daysof being selected and will have five (5) business days to respond. If a Winner cannot be contacted such period of time such person will be disqualified and another Winner will be selected from the remaining eligible entries received.

GENERAL PRIZE CONDITIONS/RESTRICTIONS: The Sweepstakes Entities are not responsible for any mechanical difficulties or failures connected with participating in the Sweepstakes activities or any act or omission whatsoever. No transfer or substitution of Prizes is allowed except at the sole discretion of the Sponsor. Sweepstakes Entities reserve the right in its sole and absolute discretion, to substitute a prize with a prize of equal or greater value.

RELEASES/TAXES: Before a Potential Winnerwill be deemed an Official Winner, he/she will be required to execute and return an Affidavit of Eligibility, a Liability Release and a Publicity Release (except where prohibited) (the “Affidavit/Release”). Except where prohibited by law, by entering, Winner grants permission for the Sponsor and those acting under their authority to use the Winner’s name, photograph, likeness, statements, biographical information, voice, and address (city and state only) on a worldwide basis, and in all forms of media, in perpetuity and for advertising or promotional purposes without review or further compensation. The Affidavit/Release must be returned by the deadline stated in such documents. If the documents are not returned within that time, or Winner is found to be ineligible, or Winner does not comply with the Official Rules, the Winner will be disqualified and another Winner will be selected. A prize or prize notification being returned as undeliverable will result in disqualification of such Winner. All federal, state or other tax liabilities (including income taxes) arising from a Prize contained in this Sweepstakes will be solely the responsibility of the Winner.

SWEEPSTAKES CONDITIONS: This Sweepstakes is subject to all applicable federal, state and local laws. By participating, Participants agree to abide by and be bound by these Official Rules and the decisions of the Sweepstakes Entities on all matters relating to this promotion and waive any right to claim ambiguity in the Sweepstakes or these Official Rules. By participating, Participants agree to release, discharge, indemnify and hold harmless the Sweepstakes Entities, Twittermoms and their respective officers, directors, employees, representatives and agents (the “Released Parties”) from and against any claims, damages or liability due to any injuries, theft, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from a) acceptance, receipt, possession, misuse or use of any prize element contained in a Prize or participation in any Sweepstakes-related activity or participation in this Sweepstakes, b) any malfunction of the entry website, c) any error in the collection or retention of entry information, or d) any typographical or other error in the printing, offering or announcement of any prize or Winner. Winner assumes all liability for any injury or damage caused, or claimed to be caused, by participating in this Sweepstakesor use or redemption of any prize. In the event a Winner is disqualified for any reason under the provisions of these Official Rules, such winner and all rights to any prize will be forfeited in its entirety and a random drawing will be conducted in order to select an alternate Winner, if time permits.

LIMITATIONS OF LIABILITY: By accepting the prize, Winner releases Released Parties and each of their respective officers, directors, agents and employees from any and all liabilities with respect to the prize related thereto. Released Parties are not responsible for (i) lost, late, stolen, misdirected, damaged, incomplete or garbled Entries, (ii) any problems or technical malfunctions, human error, lost/delayed data transmission, omission, interruption, deletion, defect, line failures of any telephone network, computer online systems, servers or providers, computer equipment, software, failure of Entryon account of technical problems or traffic congestion on the internet or at any website or any combination thereof, including injury or damage to Participants or to any other person’s computer(s) related to or resulting from participating or downloading materials contained in this Sweepstakes, (iii) communication disruption or other forces beyond their reasonable control, including inability to access any website, submitting an Entry or other disruption related to internet traffic, virus, bug or any unauthorized intervention whether or not caused by any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity(ies), equipment failure, including overloading of the Website due to excessive use, threatened terrorist act(s), terrorist act(s), air raid(s), blackout(s), act(s) of public enemy, earthquake(s), war(s) (declared or undeclared), fire(s), flood(s), epidemic(s), explosion(s), unusually severe weather, hurricane(s), embargo(s), labor dispute(s) or strike(s) (whether legal or illegal), labor or material shortage(s), transportation interruption(s) of any kind, work slow-down(s), civil disturbance(s), insurrection(s), riot(s), or any other similar or dissimilar cause(s) beyond SweepstakesEntities’ sole and reasonable control, (iv) injury or damage to persons or property caused, directly or indirectly, in whole or in part from any Participant's participation in the Sweepstakes or receipt or use of any portion of a Prize or by computer virus or otherwise resulting to any computers from Participant’s access to the Sweepstakes website or entry into the Sweepstakes, or (v) printing or other errors appearing in the rules or other Sweepstakes materials.

If for any reason the Sweepstakesis not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of the Sweepstakes Entities which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sweepstakes Entities reserve the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, or other technical problem, the Sweepstakes Entities may, in their sole discretion, either: (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; or (b) cancel the Sweepstakes and award the prize from among the eligible Entries received up to the time of the impairment.

Participants further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Sweepstakes, and in no event shall the Released Parties be liable for attorneys' fees and/or experts' fees and costs. Participants waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

Sweepstakes Entities reserve the right in their sole discretion to disqualify any individual that SweepstakesEntities find to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sweepstakes Entities reserve the right to seek damages from any such person to the fullest extent permitted by law. SweepstakesEntities’ failure to enforce any term of these Official Rules shall not constitute a waiver of that provision contained in the Official rules.

CAUTION: ANY ATTEMPT BY A PARTICIPANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SWEEPSTAKES ENTITIES RESERVE THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

USE OF INFORMATION: By entering the Sweepstakes you agree that your entry and any other personally identifiable information collected or used in connection with the Sweepstakes may be used by the Sweepstakes Entities in accordance with its Privacy Policy, as posted on www.nickjr.com.

Please specify “Rules” or “Winner List” and the week for which you want the winner list. All requests must be received by 1/30/10. Vermont residents may omit return postage.
